PROPOSAL:

Approve Appointment by South Coast Air Quality Management District Building Corporation of Jack Guiso to Building Corporation’s Board of Directors

SYNOPSIS:

As a result of the death of Mr. John Donaldson, a vacancy exists on the Board of Directors of the South Coast Air Quality Management District Building Corporation. The Building Corporation’s bylaws require that its appointment of a member to its Board of Directors be approved by the District’s Governing Board. This action is to approve appointment of Jack Guiso to the Building Corporation’s Board of Directors.

Approve the South Coast Air Quality Management District Building Corporation’s appointment of Mr. Jack Guiso to its Board of Directors.

Background

The South Coast Air Quality Management District Building Corporation (Building Corporation) is a non-profit corporation created pursuant to Internal Revenue Service Code Section 501d and provides a means for the AQMD to finance the acquisition and improvement of property to accommodate AQMD’s space needs. The Building Corporation has three director positions. With the death of Mr. John Donaldson, a vacancy exists on the Board of Directors. The Building Corporation’s bylaws provide that appointments to its Board of Directors be approved by the AQMD Governing Board. The Building Corporation has appointed Mr. Jack Guiso to its Board of Directors, subject to the approval of the AQMD Governing Board. Mr. Guiso retired from AQMD as Director of Administrative Services in 1993 after 18 years of service. As Director of Administrative Services, he was responsible for a variety of services including the vehicle fleet, print shop, purchasing, all facility service contracts, property leases for offices and air monitoring stations, maintenance of all AQMD properties, and he oversaw the construction of the current Diamond Bar Headquarters facility. Mr. Guiso was responsible for identifying and acquiring the site for the current AQMD facility and was involved in the financing of the construction project. Mr. Guiso was AQMD’s representative throughout the construction and move-in process, working on a daily basis with the construction management firm, Fluor Daniel. The Building Corporation’s Board of Directors believes that Mr. Guiso would be an asset to the organization and that the AQMD is extremely fortunate that someone with his qualifications is willing to serve in this pro bono capacity.
